Hi all, also see the freescale MC9S12NE64, MAC+PHY, 100mbit. 64K of flash, which is a hinderance but not showstopper in my application. Not sure of RAM, 8K? Not much. I've done two projects with them. Cheap, like $8 in qty 100. just a FYI.
